Business owners may have many years of experience at owning and operating a business, but little or no experience with the overwhelming task surrounding their exit. There are many questions an owner should ponder in regards to their exit plan.  Should the business be sold? If so, should they retain an ownership percentage or none at all? When is the right time to sell? What is the value of the business?

To add further to the confusion…there are more exit strategies available to business owners than ever before.  Combine that with the amount of private money that is chasing deals and you have just scratched the surface of privately held business transactions.

For David Boykin and Brian Reilly, the co-founders of Transact Partners, our mission is to help privately held business owners navigate the confidential, competitive & complex world of business sale transactions. 

Although each and every ownership situation is unique, the Transact program generally consist of the following:

  • Define the Optimum Exit Strategy & Value: Together, we determine if it is the right time to sell and address valuation issues.  In many cases, it is difficult for an owner to be completely objective in their assessment of what the business is really worth. Our policy is to be completely honest and forthright in our opinion of value for the business.
  • Prepare the Business for Sale: We evaluate the business and suggest corrective measures to enhance value.  We develop the offering memorandum and assemble sell side due diligence information.
  • Market the Opportunity: From this point we will begin to confidentially market the opportunity.  We utilize our internal database and contact qualified strategic and financial buyers including private equity firms.
  • Find the Right Buyer: All buyers must execute our Non-Disclosure Agreement before receiving any information about the company.  We filter and qualify all buyers and create a spirit of competition to enhance the value of the opportunity.  It is our fiduciary duty to present all offers and allow our clients to select the best option for their particular situation.
  • Manage the Deal Process: In conjunction with an advisory team, our objective is to determine the appropriate transaction structure while reconciling buyer and seller objectives. Furthermore, we play a key role in managing the due diligence process/negotiations and getting to the closing table.
  • Transition & Post Transition Assistance: In conjunction with an advisory team, we can assist the client with personal wealth issues after the sale.
